Implementing Partner Agreement

This Implementing Partner Agreement (“Agreement”) is made between the Street Business School

“Immersion Workshop” applicant, the training organization or individual self-identified through this digital application process (“Partner”), and Street Business School, a Colorado company, having an address at 136 2nd Avenue Unit D, Niwot, CO 80544 USA (“Street Business School”).

Purpose. The purpose of this Agreement is to provide the legal framework so that applicant may either 1) use our downloadable programs and/or 2) become qualified as a Street Business School Partner (applicable only for those online users who gain Lead Coach written certification from Street Business School through our multiweek workshop) to deliver Street Business School programming. Each applicant must read and agree to the terms set out in this Agreement before being given access to our virtual offerings. The individual must agree they are legally authorized to represent their organization or themself. This Agreement is governed by the laws of the State of Colorado, United States of America, which requires signatories of contracts to be 18 years of age or older. While we work with many countries outside of the United States, we abide by this law as our standard.

Content. To become a Partner, you must read and understand the full Agreement. This is an overview of the list of the content of the Agreement. After reading this document, if you check the box which states “I have read and agree to the Terms of Use,” you are committing to all parts of the agreement which is hereby defined as including the following parts.

1. Membership and Licenses.

a.Definitions. All defined terms, wherever they may appear in the body of this document, shall have the meanings indicated. In addition, certain terms appear set in quotation marks, but are not followed by a descriptive phrase. Those shall be understood as they are described where they are found in the Guide to Street Business School Implementation. All terms with quotation marks are incorporated by this reference, whether they appear in the preamble, the main document, or the referenced attachments.

b. Membership. Subject to Partner’s compliance with all of the terms and conditions in this Agreement, upon the successful 1) use of our downloadable programs and/or 2) qualification as a Street Business School Partner (applicable only for those online users who gain Lead Coach written certification from Street Business School through our multi-week workshop), Street Business School approves Partner’s membership in the “Network” as a non-exclusive Partner, and authorizes Partner to offer the “Street Business School Program” to beneficiaries in communities where Partner is embedded. Partner accepts such membership, and agrees to carry out the implementation of the Street Business School Program as a Partner in conformance with the obligations and expectations set out in this Agreement. SBS Guideline Documents are subject to modifications and updates, as published by Street Business School from time-to-time, in its sole discretion. As a member of the Network, you agree to accept digital communications from Street Business School. From time to time you’ll receive emails about our program. If at any time you wish to no longer receive these emails, contact: [email protected].

c. Competition. You may not access these services or become a member if you are a competitor of Street Business School. Determination of whether you are a competitor is solely per Street Business School’s discretion and access to services and any licenses will be denied upon this basis.

d. Licenses and Intellectual Property Rights. Subject to Partner’s compliance with the terms and conditions of this Agreement, Street Business School grants to Partner: (1) a non-exclusive right to use and reproduce the Street Business School Course curriculum and materials (“Materials”) solely in connection with delivering the Street Business School Program. Street Business School shall own all right, title and interest in and to the Program, Courses, and Materials, the Localizations, and all derivatives, modifications, and improvements thereof, including patents, copyrights, trade secrets and other intellectual property rights therein (“Intellectual Property Rights”), collectively, “SBS Property”. Partner will do nothing inconsistent with or adverse to such ownership. Partner hereby assigns all right, title and interest in and to any work product created by Partner, to which Partner contributes, or which relates in any way to SBS Property pursuant to this Agreement, including all Intellectual Property Rights therein and thereto. Partner hereby irrevocably appoints Street Business School as Partner’s attorney-in-fact for the purpose of executing any documents and instruments necessary or desirable to confirm such assignment.

2. Partner Commitments.

a. Course Delivery and Curriculum. Partner will deliver Street Business School Courses in a professional and competent fashion. In providing any Course, Partner must follow the applicable curriculum and use the corresponding Course Materials.

b. Anti-Piracy/Intellectual Property. Partner will not engage in the manufacture, use, distribution, supply, marketing or promotion of any counterfeit, pirated, or illegal Street Business School Program, Courses, or Materials, whether directly or indirectly, and will assist Street Business School as reasonably required in the investigation of any such activities. All Materials, including printed and electronic information provided as part of the SBS offerings, are copyrighted and may not be reproduced for purposes other than use in delivering the Street Business School Program. Making, reproducing or distributing copyrighted or other protected materials externally to a party not affiliated with Street Business School will be considered illegal use.

c. Quality. Partner agrees that effective implementation of the Street Business School Program in accordance with the standards set out by Street Business School is a condition of Partner’s continued authorization to teach Courses. Partner must conduct its business in a manner that reflects favorably at all times on Street Business School, the Street Business School Program, and the goodwill and reputation of the business and product. Partner must avoid deceptive, misleading or unethical practices that are or might be detrimental to Street Business School or the Street Business School program. If a Partner does not comply with this requirement, as determined solely by Street Business School, Street Business School will notify the Partner of the specific nature of non-compliance via email or postal service, and the Agreement shall be considered null and void. Upon notice of non-compliance with this section of the agreement, the Partner shall not represent any association with nor certification by Street Business School and shall not use any materials provided by Street Business School.

d. Anti-Bribery/Corruption. In connection with performing or accessing the activities, services, and obligations under the Agreement, Partner warrants and agrees to ensure that no payments, gifts, or other items of value have been or will be offered, received, provided or authorized by or on behalf of Partner to or from any individual or entity in violation of the US Foreign Corrupt Practices Act or any similar anti-bribery legislation applicable to this Agreement, the parties, or the jurisdiction in which activities or services are to be performed or business is transacted.

e. Sanctions Compliance. In connection with performing or accessing the activities, services, and obligations under the Agreement, Partner warrants that they are not subject to any sanction or trade restriction imposed by the United States government, including but not limited to the economic sanctions imposed by the U.S. Treasury Department’s Office of Foreign Assets Controls (“OFAC”) and that Participant is not acting on behalf of an individual or entity that is the subject of U.S. government sanctions or trade restrictions. Furthermore, Participant certifies that they will not use, access or otherwise cause the activities or services under this Agreement to be used in any manner that, directly or indirectly, violates OFAC sanctions.

f. Use of Qualified, Certified Lead Coaches. (ONLY APPLICABLE TO OUR TRAIN-THE-TRAINER WORKSHOPS) Partner must ensure that any person training Street Business School has been appropriately trained, and has been awarded a Lead Coach Certification by Street Business School. Partner will follow all guidelines, as set forth in this agreement. The cost of any ongoing certification requirements is the responsibility of Partner.

3. Quality Compliance. Beginning from the Effective Date through one-year following the termination or expiration of this Agreement, Street Business School may audit Partner’s progress to determine compliance with this Agreement. Such audit shall not interfere unreasonably with Partner’s business activities, and shall be conducted no more than once per calendar year, unless a previous audit disclosed non-compliance with this Agreement. Any deficiency identified will be submitted via email by Street Business School to Partner and may be accompanied by a corrective action plan for resolving outstanding issues. Partner must comply with the corrective measures within 30 days to continue to be allowed the right to use the certification.

4. Advertising. Partner may advertise itself as having Partner status after either 1) downloading and self-educating on any of our downloadable offerings, or 2) successfully completing the train-the-trainer workshops and obtaining Lead Coach Certification, and only for so long as such status is authorized by Street Business School. Partner shall not represent or imply that non-Street Business School-approved educational offering or material is affiliated with the Program, nor may it represent itself as a Street Business School affiliate if it is not indeed on active Partner status, by having completed the train-the-trainer workshop and receiving certification.

5. Term and Termination. The term of this Agreement initially shall be the one-year period commencing on the Date the Partner accepts the terms and conditions of this Agreement through the SBS Online Platform. On the first anniversary of the GCP Signature Date and on each subsequent anniversary of the Partner accepting the terms and conditions, the term of this Agreement shall automatically be extended for a periodof one additional year, unless written notice of termination has been provided by  either party. Either party may terminate this Agreement at any time for any or no reason by giving the other party 30 days’ prior written notice.

6. Effect of Termination. Upon expiration or termination of this Agreement, all rights and licenses granted to Partner under this Agreement immediately terminate, and Partner must immediately cease all use and distribution of the Street Business School Program, Courses, and Materials.

7. Warranty and Indemnification.

a. Warranty. Street Business School warrants that it has sufficient right, title and/or interest in the Materials such that it may license them to Partner as provided in Section 1 (d).

b. Disclaimer. Except as expressly set forth in this section, Street Business School makes no warranties with respect to the Street Business School program, courses, curriculum, materials or any information, documentation or services provided. Street Business School disclaims and excludes all other express, implied, and statutory warranties, representations and conditions, including, but not limited to the implied warranties or merchantability, fitness for a particular purpose, good title, and non-infringement.

8. Limitation of Liability.

a. Liability. All products and/or services are provided on an “as is” basis. No guarantee is express or implied. By choosing to access this site and/or use our products and/or services, you do so at your own risk. Neither party shall be liable to the other for any indirect, incidental, or consequential damages (including lost profits) arising out of or related to this agreement.

b. Direct Damages. Street Business School’s liability for damages arising out of or relating in any way to this agreement shall be limited to direct damages and in no event shall exceed the greater of twice the total fees paid by Partner to Street Business School for course materials.

9. General Provisions.

a. Confidential Information. The party who receives the other’s Confidential Information will hold it in confidence and will not make unauthorized disclosures. The party warrants that any information received by him/her during any furtherance of the obligations in accordance with this contract, which concerns the intellectual property, personal, financial or other affairs of the organization will be treated by the party in full confidence and will not be sold/bartered/donated or revealed to other persons, firms or organizations.The partner agrees to safeguard the proprietary information and to prevent the unauthorized use or disclosure thereof. As for this Agreement, Confidential Information shall mean: Any information or data, including but not limited to business secrets, curriculum, materials, program activities know-how, research results and studies, business plans, customer information, financial data, document templates, programming specifications, development processes, quality standards, contract clauses, and information from third parties.

b. Assignment / Relocation of Implementing Partner. This Agreement may not be assigned by Partner, in whole or in part, without Street Business School’s prior written consent. Unauthorized assignments are null and void. Street Business School will not unreasonably withhold consent to an assignment to Partner’s parent company or subsidiary. If Partner relocates or establishes a new training site, Street Business School may determine whether or not to allow this Partner to exercise the rights and privileges granted to it under this Agreement at the proposed site within 30 days of notification by Partner.

c. No Agency. The parties are independent contractors. Neither the terms of this Agreement, nor any activities conducted under this Agreement, will be construed as an employment, agency or partnership between them.

d. Notices. All required notices shall be in writing and shall be deemed to have been given if: (1) delivered in person, or (2) sent via email and followed up by certified mail, return receipt requested, or (3) sent via overnight delivery service by international carrier, to the addresses appearing below, with accompanying proof of delivery.

e. Governing Laws. This Agreement shall be governed by, and construed in accordance with, the laws of the state of Colorado, without regard to its conflict of law principles. Any action or proceeding relating to or arising out of this Agreement which cannot be resolved by the parties by cooperative negotiation for a duration of a minimum of 45 days from the date of notice of one party to the other of its desire to negotiate a dispute, shall be brought in the federal and/or state courts located in Boulder County, Colorado.

f. Entire Agreement. This Agreement merges and supersedes all prior and contemporaneous agreements, understandings, negotiations, and arrangements, both oral and written, and constitutes the entire agreement between the parties as to the subject matter hereof. Except as otherwise provided, all amendments and changes to this Agreement must be in writing and signed by each of the parties.


Release and Indemnification/ Name and Likeness Agreement

We are excited for the opportunity to share Street Business School stories from our incredible Partners with our growing audiences. With a projected digital reach of 970,000, and as we scale to reach 1 million people by 2027, this brings opportunity for increased visibility. In exchange for sharing your mission, testimonials, stories and visual assets with our communities, you are herein agreeing to grant permission for us to share such information within our communications, and are agreeing that the person who clicks “I Agree” on the digital portal herein affirms they are legally authorized to represent their organization and can name the two participants. For individuals purchasing and downloading our resources, Street Business School also requires accordance with these terms. 

Partner hereby grants Street Business School, a non-exclusive, worldwide, royalty-free, revocable with 30 days written notice, license to use, and create derivative works of, the photography, videos, testimonials and stories provided by Partner to Street Business School (the “MATERIALS”), directly or via social media, in connection with Street Business School’s production of promotional and educational materials for Partner (the “PRODUCTION”) and any other project for which Partner may engage Street Business School in the future.

Partner represents and warrants to Street Business School that the MATERIALS provided by Partner to Street Business School in connection with the PRODUCTION and any other materials delivered by Partner to Street Business School in connection with the PRODUCTION, do not defame any third party, infringe upon any intellectual property right, misappropriate any third party trade secret(s) or confidential information, or violate other rights of any kind, including the right of privacy or publicity, of any person or entity.

Authorized person who digitally checks and accepts the Terms and Conditions of this Agreement hereby consents to the use of participants’ names, photographs, or other likeness by Street Business School (SBS), and their respective vendors, contractors and assigns (collectively “SBS”) for any and all purposes, including, but not limited to, advertising, publicity, promotion, packaging, and trade, in any medium whatsoever, throughout the world without restriction as to manner, frequency, or duration of usage. If this agreement is being signed by an authorized person on behalf of another individual, this section shall apply to the participant(s). By agreeing to the terms of this Agreement, the participant(s) shall agree to all the terms stated.

I further agree that all materials produced hereunder are and will remain the sole and exclusive property of Street Business School.

I waive any right to inspect or approve the finished product, including written copy, wherein my likeness or my testimonial appears. I hereby hold harmless and release Street Business School from all claims, demands and causes of action which I, my heirs, representatives, executors, administrators or any other persons acting on my behalf or on behalf of my estate have or may have by reason of this authorization.

These terms shall be governed and construed in accordance with the laws of the State of Colorado, United States of America, as if performed wholly within the state and without regard to its conflicts of laws provisions. By agreeing via the Street Business School digital platform, I hereby affirm that I have read, understand and agree to all of the terms and conditions of this Agreement.

What You Provide - Roles and Responsibilities of Partners

As your partner, we have built a framework designed to contribute to your successful delivery of the SBS program. To achieve this goal together we require that our Partners commit to the following:

Example elements that may be customized include: the length of SBS program delivery, specific business examples to be used, and other contextual areas you deem necessary.

Lead Coaches. Participants who attend the Train-the-Trainer Workshop and achieve sufficient proficiency (as outlined by SBS in the workshop) will receive certification as either an Associate Lead Coach or a Lead Coach (depending on the workshop taken). In order to ensure quality implementation, we require that at least one certified Lead Coach trains each SBS session in your local community. If Partner chooses not to use two Certified Associate Lead Coaches for coaching visits, coaching visits can be done in pairs by both a certified Lead Coach and an assistant. The Lead Coach should deliver the coaching session so that the assistant can capture data.
